1. Acceptance of Terms
By accessing or using the TechBoss website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
These Terms apply to all visitors, clients, and users of our website and services. Additional terms may apply to specific services and will be provided at the time of engagement.
2. Services Overview
TechBoss provides information technology services including but not limited to:
- Managed IT services and support
- Network infrastructure design and installation
- Cloud solutions and migration
- Cybersecurity services
- Software development and web solutions
- IT consulting and project management
- Structured cabling and low-voltage installations
Specific service scope, deliverables, and pricing are outlined in individual service agreements or statements of work.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information when requesting services
- Grant reasonable access to systems and facilities necessary for service delivery
- Maintain backups of your data before any service engagement
- Comply with all applicable laws and regulations
- Promptly communicate any issues or concerns regarding our services
- Pay invoices according to the agreed payment terms
4. Quotes and Pricing
All quotes provided by TechBoss are valid for 30 days from the date of issuance unless otherwise specified. Prices are subject to change based on:
- Changes in project scope or requirements
- Fluctuations in hardware or software costs
- Additional work requested beyond the original scope
Final pricing will be confirmed in a signed service agreement or statement of work before commencement of any project.
5. Payment Terms
Unless otherwise agreed in writing:
- Invoices are due within 30 days of issuance
- Late payments may incur a service charge of 1.5% per month on the outstanding balance
- We reserve the right to suspend services for accounts with overdue balances exceeding 60 days
- All prices are in Canadian Dollars (CAD) unless otherwise specified
6. Service Level and Warranties
TechBoss will perform all services in a professional and workmanlike manner consistent with industry standards. We warrant that:
- Our technicians are qualified and trained for the services they perform
- Hardware and materials provided will be free from defects at the time of installation
- We carry appropriate insurance coverage for our operations
Specific warranties for hardware, software, or installations will be detailed in the applicable service agreement. Warranty periods vary by service type.
7. Limitation of Liability
To the maximum extent permitted by law:
- TechBoss's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim
- We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or business opportunities
- We are not liable for damages resulting from third-party products, services, or actions beyond our control
8. Intellectual Property
Unless otherwise agreed in a service agreement:
- Custom software, designs, and deliverables created for a client become the client's property upon full payment
- TechBoss retains ownership of proprietary tools, methodologies, and pre-existing intellectual property
- We reserve the right to use general knowledge and techniques gained during service delivery
- The TechBoss name, logo, and branding are our exclusive property
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of service delivery. This includes but is not limited to:
- Business strategies and trade secrets
- Technical configurations and network details
- Customer data and financial information
- Pricing and contractual terms
This obligation survives the termination of any service agreement.
10. Termination
Either party may terminate a service engagement:
- With 30 days written notice for ongoing/recurring services
- Immediately if the other party materially breaches these Terms and fails to cure within 15 days of written notice
- Immediately if the other party becomes insolvent or ceases operations
Upon termination, the client is responsible for payment of all services rendered up to the termination date. Any prepaid fees for undelivered services will be refunded on a pro-rata basis.
11. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, power outages, internet disruptions, or acts of terrorism.
12. Website Use
When using our website, you agree not to:
- Submit false or misleading information through any forms
- Attempt to gain unauthorized access to our systems
- Use automated tools to scrape or collect data from our website
- Engage in any activity that disrupts or interferes with our services
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
